The Investor prefers to have a representation in the Board of Directors of the Company through its nominee director(s) having certain affirmative voting rights on critical financial and management issues related to the Company.

Investment Terms:

The issues related to the share holding pattern, issue price of the shares issued to the Investor, control and management of the Company, reserved matters requiring affirmative voting rights of the Investor (or its representatives), representation on Board of Directors, etc., are addressed in detail in the Joint Venture and Shareholders’ Agreement (“Investment Documents”) that are executed in relation to the investment. On my flight down to San Francisco this past weekend, I was reading an interesting article all about how most married couples could not fathom the concept of working together day in and day out. As I read it I had to chuckle as my husband and I have successfully ran a business together every day for the past ten years and have grown closer and have been able to build a stronger business because of our partnership.

Although we are married there are certain principles we follow that have helped us to shape a strong, productive professional partnership that hasn’t broken down despite the immense amount of challenges we have faced. These six signs of great partnerships have become very apparent to me over the past few years and I hope they help you become a better partner to your partner (whether spouse or otherwise).

    1. They trust each other: When Dan makes a plan, I trust that he has my best interests at heart and that he has the capacity to do a great job inside his role without my interference. I don’t second-guess his choices nor question every move that he makes.

 

    1. The respect each other: I don’t tell him how to do his job (unless I can share some helpful input) and he doesn’t tell me how to do my job. I verbally honor him in front of our colleagues and regularly express my gratitude to him for what he brings to the partnership.

 

    1. They give each other the freedom to mess up: Neither of us is perfect and both of us have made some big mistakes in the history of running our business but we are committed to letting the mistakes stay in the past and to not let them interfere with the organization’s future. We don’t blame, judge or criticize but work together to pick up the pieces and move forward.

 

    1. They play to their strengths. I don’t try to do his job and he doesn’t try to do mine. We give each other lots of space and don’t attempt to manage each other. I accept who he is and the limitations he has as a leader and he does the same for me. We meet in the middle and work as a unit instead of looking at it like a who-is-the-best contest.

 

  1. They are honest with each other: Because we trust each other, we can be honest with each other when it comes to making difficult decisions. We share our doubts, fears and apprehensions with each other and don’t worry about looking weak. The communication is open and we both accept that sometimes we may see things differently and have the permission to talk about it.

Over the short ascent of global business travel and globalisation many advances and efficiencies have been made in the area of civil aviation. The hardware of the trade, the planes have seen many modifications including fly by wire technology and a new generation of fuel-efficient planes to take us into the 21st century. According to the American Express Global Business Traveller Survey 2013 if you are a business traveller and you sat next to me on your next flight there is a one percent chance that you would engage me in conversation, so much for business going social! Whether you would want to engage me in conversation is another matter but this article is not about me it’s about the developing trends in business travel from a healthy flier perspective.

The survey was conducted by American Express in the summer of 2013 with participants from the US, UK and Australia. Approximately 500 randomly sampled business travellers were surveyed in each country.

The standout headlines are

(1) As the global workforce goes through change the Millennials are beginning to make up a larger portion of it.

(2) As a group the Millennials value a better work life balance and are savvy about it while on the road.

(3) There is an added focus on relieving travel related stress.

Narrowing in on the US market the travel stress theme is specifically in evidence.

74% of travellers said they drank extra water to stay hydrated.

48% stretched on the plane.

44% use a hotel gym.

20% avoid alcohol.

The majority use a combination of diet and exercise to stay healthy while on the road and 41% supplement their diets with vitamins.

Even if it is only implied these figures show that more business travellers are beginning to recognise and value the correlation between flying healthily to arrive well, be productive and successful in business.

Healthy Business: Change Actions to Change Results

In business, we hear things like: “Change is inevitable.” And “The only constant is change.”. We hear it all the time and most of us have come to understand the fact that change is a part of our lives and will always be a part of business.

Although we have understood the presence of change, I’m not sure that everyone has truly accepted the fact that they need to change in order to keep moving in the desired direction. In business, it is simple: you have a path that you want to your business to go down. As you move down this path, challenges come your way that require you and your team to adjust in order to keep going down that path. If you don’t adjust, you won’t be able to continue. It is like a road block for your business. If something is in your way, you have to change course in order to get around that obstacle.

What if we don’t change?

What happens if we choose not to adjust our course? That’s simple. If you are on a road driving and there is a fallen tree blocking the way, you have to make a choice. You can change and go another way, or you can sit and wait for someone to move the fallen tree. You still have two choices, but one is far more reasonable than the other. I don’t know too many people that would sit and wait for someone to move the tree.

Let’s think about it from a business perspective. If your company is running into a product issue and there seems to be no way to get a product completed without added costs or defects to the product, you have a simple choice to make. You can adjust your process and change how you handle the manufacturing of this product, our you can keep doing it the same way and hope it magically gets better. This sounds a lot like the fallen tree, doesn’t it? If your business is waiting for something to magically happen that will change the results, you will be waiting around for a long time and may never see a solution.

How do we change?

Change is a scary word to many people. In fact, many businesses fear change so much that they are still doing things the same way after 3o years or more. Many businesses have proven systems that have worked for them all this time, but other systems in business are not working, but there is either no alternative or no one wants to change the way they do things.
